EarnersPay Terms & Conditions: Vendor Agreement

This is a legal agreement between you and EarnersPay which is a trademark of Clems Digital Ltd.

Please read the EarnersPay Vendor agreement (“agreement”) before requesting to list your digital product on EarnersPay.

This agreement outlines the terms for listing your digital product as a vendor on EarnersPay marketplace.

Proceeding to apply as a vendor to list your digital product on EARNERSPAY means you accept to be bound by all terms of this agreement. If you do not agree to each of the terms of this agreement, you are not eligible to request to become a vendor/list your digital products on the EarnersPay marketplace.

EARNERSPAY reserves the right to modify this agreement at any time by publishing an updated version on our website. By continuing to use our platform, you agree that the revised terms become effective immediately upon posting. For significant changes, we will provide a 30-day advance notice on our website before they take effect.

1. Submitting your products for Listing on EARNERSPAY Marketplace

As a vendor, you can list one or more digital products (“products”) for sale on the EarnersPay marketplace. These products can contain various forms of digital content (“Content”), including but not limited to written, audio, and video formats, provided they are suitable for digital delivery.

EarnerPay will review all submitted products and content for completeness, accuracy, quality, marketability, and similar factors. Therefore, as a vendor, you are solely responsible for ensuring that all submitted products have complete, accurate, and high-quality content that truthfully reflects your sales page. Failure to meet these standards may result in the rejection to list your products on the EarnersPay marketplace.

You understand and agree that EarnersPay reserves the right to reject any submitted product(s) for listing on the marketplace, and may do so at any time, with or without stating a reason. Furthermore, we strongly advise you to ensure the quality of your product(s), to meet our standard and terms in this agreement.

(i) Prohibited Products and Content:

You acknowledge and agree that you will not submit any product(s) or content that:

Are pornographic or offensive in nature.
Private label rights (“plr”)
Pertain to pyramid schemes or multi-level marketing (MLM).
Involve any illegal activity.
Contain any illegal material, including but not limited to material that violates the copyrights, trademarks, trade secrets, right of publicity, privacy rights, or rights of attribution of any third party.

(ii) Allowed product(s):

To provide clarity for vendors, the EARNERSPAY marketplace supports a diverse range of digital product in variuos niches. These include, but are not limited to, products focusing on the following areas:

Health & Wellness Niche: This niche includes guides, ebooks, courses, templates, and tools related to fitness, nutrition, mental health, specific health conditions, and overall well-being.

Travel Niche: This area encompasses travel guides for specific destinations and courses on how to relocate to foreign countries for jobs, tourist and other recreational activities

Personal Finance Niche: This niche focuses on helping individuals manage their money, save, invest, and achieve financial goals. Products can include investment guides, debt management workbooks, and courses on financial literacy.

Business & Marketing Niche: This broad niche includes products aimed at entrepreneurs, small business owners, and marketers. Examples include online courses on digital marketing strategies, and ebook on business growth.
Relationship & Marriage Niche: This niche focuses on providing guidance and resources related to dating, building healthy relationships, improving communication, navigating marriage, and co-parenting.

Technology & Software Niche: This niche covers ebooks, courses, templates, and software tools related to coding, web development, graphic design, specific software applications, and productivity.

Hobbies & Interests: This is a vast category covering diverse passions like cooking, photography, crafting, music and more. Products can range from ebooks and guides to online courses.

Education & Academics Niche: This niche includes study guides, test preparation materials, lesson plans for educators, language learning resources, and academic writing templates.
Personal Development Niche: This area focuses on self-improvement topics such as productivity, time management, goal setting, motivation, and mindfulness. Products can include ebooks, workbooks, planners, and audio meditations.
Make Money Online (MMO) Niche: The EARNERSPAY marketplace recognizes the significant demand for digital products within the “Make Money Online” (MMO) niche. This category includes products designed to teach individuals various strategies and methods for generating income through online platforms and activities. Allowed product content within this niche includes, but is not limited to:

Affiliate Marketing Guides & Courses: Teaching strategies for promoting other companies’ products and earning commissions.

Freelancing & Gig Courses: Providing guidance and resources for offering services online, such as ghostwriting, graphic design, virtual assistance, and web development.

Content Creation & Monetization: Teaching methods for creating and monetizing online content such as blogs, videos, podcasts, and social media.

Investing & Trading Education: Providing educational materials on online investment strategies, stock trading, cryptocurrency, and other financial markets. (Note: Ensure compliance with any financial regulations and avoid guaranteeing specific returns.)

Online Business Models courses: Exploring various ways to build online businesses, such as SaaS (Software as a Service), online communities, and ecommerce dropshipping.

Online Surveys & Micro-Tasks courses: While its often lower-paying, some products might focus on sharing indepth knowledge on how anyone can maximize their earnings from online surveys and small tasks.

Important Considerations for the MMO Niche:

Accuracy and Realistic Expectations: All products in this niche must provide accurate information and set realistic expectations for potential earnings. Claims of guaranteed income or “get rich quick” schemes are strictly prohibited, as outlined in our guidelines on prohibited content.

Legality and Ethical Practices: Products must promote legal and ethical online earning methods. Any content related to illegal activities or deceptive practices is strictly forbidden.

Value and Practicality: Products should offer genuine value and practical, actionable advice to users.

As with all these digital product niches, EarnersPay reserves the right to review and approve all submissions within the “Make Money Online” category to ensure they meet our quality standards and comply with all terms and conditions.

Vendors are encouraged to focus on specific niches within these broader categories to cater to a more defined audience and offer specialized value. However, all products must still adhere to the overall quality and prohibited content guidelines of the EARNERSPAY marketplace.

For your product to be listed on EARNERSPAY marketplace, your products must be original. You cannot offer products that are primarily PLR content. PLR material is acceptable only as a free bonus accompanying an original product.

EarnersPay reserves the right to refuse any product submission or to remove any existing product that we determine is NOT genuinely original or created by you the vendor.

(iii) Pricing of Product(s):

The current pricing for products on the EarnersPay marketplace must fall between a minimum of N5,000 and a maximum of N120,000.

As a vendor on EarnersPay, you agree to maintain consistent pricing for any product listed on our marketplace across all platforms, including your own website.

Should you need to adjust the price of a product on your website that is also listed on EarnersPay, you are obligated to promptly inform EarnersPay so we can update the price on our platform accordingly.

EarnersPay reserves the right to suspend the listing of any product found to have inconsistent pricing between your website and EarnersPay.

Furthermore, all products offered on EarnersPay must be original creations, and you, as the vendor, must possess all necessary copyrights and permissions to allow EarnersPay to sell the product(s).

Your products must not fall within our prohibited niches, which include pornography, gambling, pyramid schemes, and similar categories as outlined elsewhere in these terms.

By listing a product on EarnersPay, you represent and warrant that you are the rightful owner of the product and its associated content. You understand and agree that EarnersPay acts solely as a platform to facilitate the sale of your product.

Therefore, you bear full responsibility and liability for the product, including its design, functionality, condition, manufacturing, sale, financial obligations, warranties, and guarantees. EarnersPay assumes no responsibility or liability in these regards.

2. Commission Percentage for Affiliates:

As a vendor on EarnersPay, you are responsible for determining the commission percentage offered to affiliates who promote your products.

While EarnersPay encourages you to set competitive and fair commission rates to motivate affiliate promotion, the final commission structure must align with your business model and profitability goals.

As a vendor on EarnersPay, you decide the affiliate commission rate for your products, with a permissible range of 25% to 85% of the gross sales price.

When a sale occurs, the total (gross) sales revenue is allocated by first deducting EarnersPay’s fees. Following this, the affiliate who facilitated the sale (as tracked by our secure system) will receive their commission, which is also calculated on the gross sales price. The remaining funds will then be disbursed to you, the vendor.

This system ensures that affiliates are compensated for their marketing efforts based on the commission structure you set, and you receive the net proceeds after these deductions.

3. Secured Vendor Access and Communication:

Upon registration as a vendor, you will receive an EarnersPay vendor ID and also a default password to log in to your EarnersPay vendor account. This access will allow you to manage your vendor resources, such as listing new products and reviewing your sales history. You are to reset your password immediately you get access for security purpose. Unless explicitly agreed upon or permitted by EarnersPay in writing, you are strictly prohibited from sharing or transferring your ID and password or granting access to the EarnersPay system to any other individual. You bear sole responsibility for maintaining the confidentiality of your EarnersPay ID and password and for all activities that occur under your account.

It is also your responsibility to ensure that your primary phone number and email address are kept current. This will enable EarnersPay to communicate with you effectively via email and phone calls. You understand and agree that if EarnersPay sends you an electronic communication, it will be deemed to have been provided to you, even if you do not receive it due to an incorrect or outdated email address, a full inbox, filtering to trash or spam, or any other inability to receive email or messages.

You can update your primary email address and other contact information at any time by logging into your EarnersPay vendor dashboard. If your email address becomes invalid, resulting in returned emails from EarnersPay, we may consider your account inactive and your vendor status may be suspended or put on hold until you provide us with a valid and working primary email address.

In essence, your login access is individual and private, and you are responsible for maintaining its security and ensuring your contact information remains accurate.

4. Claims on Product Pages and Promotions:

As a vendor on EarnersPay, you are strictly prohibited from making any false or misleading claims in your product(s), on your product sales pages, or in any advertisements or marketing materials related to your product(s) on the EarnersPay marketplace. This includes all sales copy and other advertising materials you create.

You are prohibited from and agree not to:

Make any unsupported, misleading, or false claim about any content or product, or the results that it can produce.
Include any false or misleading testimonial, endorsement, or implied endorsement. As a vendor, you must disclose any material connections between your product’s endorsers and yourself. You must also disclose if any reviewer or endorser of your product was compensated.
Fail to include any disclaimer or statement(s) needed to qualify your claims or to prevent your advertising from being false or misleading.
Make any suggestions or unsupported claims regarding typical income or earnings, the likely income or earnings of purchasers, or the income or earnings purchasers should expect from your product(s).

By listing your product(s) on EarnersPay, you acknowledge and agree to adhere to these guidelines regarding truthful and non-misleading claims in all your product-related materials.

EarnersPay reserves the right to review product listings and promotional materials and take appropriate action, including removal of products, for violations of this policy.

5. Product refund policy:

At EarnersPay, we have a no-refund policy.

Vendors are solely responsible for creating and handling their own refund policies.

The vendor’s contact will be provided to all customers upon any product purchased that is owned by the vendor for support, other enquiries and request for refunds if the customer is dissatisfied with the product.

As a vendor, you are expected to have your refund policies for all products listed on EarnersPay and you are expected to keep to your refund policies at all times to avoid your product from being delisted from EarnersPay.

6. Payment Processing and Fees:

To operate the EarnersPay marketplace efficiently, EarnersPay will integrate with third-party payment processors (including banks) to handle all payments for product purchases made through our platform. By listing your products on EarnersPay, you expressly grant EarnersPay permission to sell your products and to process the payments received from these sales. EarnersPay will also charge a commission of 10% per sale on all vendor products.

7. Modifications and Additional Terms:

EarnersPay reserves the right, at its sole discretion, to modify this agreement at any time. This includes the addition of new terms, rules, policies, and conditions (“additional terms”). Any such additional terms are hereby incorporated into this agreement by reference. Your continued status as a vendor and your continued use of the EarnersPay marketplace or services will constitute your acceptance of any such additional terms. It is your responsibility to regularly review this agreement for any updates or modifications.
